1. Definitions

In these Terms & Conditions:

  • "Meridian" means Meridian Legal Services
  • "Services" means legal services provided by Meridian
  • "Client" means the person or organisation engaging Meridian
  • "Agreement" means the legal engagement letter and these Terms
  • "Confidential Information" means all information provided by Client to Meridian

2. Acceptance of Terms

By engaging Meridian's services, you accept these Terms & Conditions. If you do not agree to these terms, please do not engage our services. These terms become binding when you sign our engagement letter or commence communication regarding legal matters.

3. Service Description

Meridian provides legal advisory services in the areas of education sector regulation, service level agreement drafting, and judicial review matters. Services are provided in accordance with Hong Kong law and professional legal standards. The specific scope of services will be defined in the engagement letter or service agreement.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information relevant to the matter
  • Disclose all material facts and circumstances
  • Maintain confidentiality of Meridian's advice
  • Provide timely instructions and feedback
  • Pay invoices within agreed timeframes
  • Notify Meridian immediately of any changes to circumstances

Meridian cannot be responsible for advice that is based on inaccurate or incomplete information provided by the Client.

5. Meridian's Responsibilities

Meridian agrees to:

  • Provide services in accordance with professional legal standards
  • Maintain client confidentiality and attorney-client privilege
  • Provide timely and competent advice within the scope of engagement
  • Communicate clearly about progress, costs, and any constraints
  • Maintain appropriate insurance and professional indemnity
  • Keep accurate records of work performed

6. Fees and Invoicing

Fees will be communicated clearly in the engagement letter or service agreement. Meridian typically charges on a fixed-fee basis for defined engagements. Invoices are payable within 14 days of receipt unless other terms are agreed. Payment should be made by bank transfer to Meridian's nominated account.

If an engagement extends beyond the originally agreed scope, Meridian will notify the Client and agree revised fees before proceeding.

7. Limitation of Liability

To the extent permitted by law, Meridian's total liability arising from or relating to the Services shall be limited to the amount of fees paid for the Services in question. Meridian shall not be liable for indirect, consequential, special, or punitive damages, including loss of profit or business interruption.

8. Disclaimers

The Services are provided "as is" and Meridian makes no guarantees of specific outcomes or results. Legal advice reflects Meridian's professional judgment based on information available at the time. Meridian does not provide taxation, accounting, or financial advice unless explicitly agreed and within scope of engagement.

Advice provided is for the Client's use only and should not be relied upon by third parties without Meridian's written consent.

9. Confidentiality

All information provided by the Client is treated as confidential and subject to attorney-client privilege. Meridian will not disclose confidential information except as required by law, court order, or professional regulatory bodies. This obligation continues indefinitely.

10. Termination

Either party may terminate the engagement by providing written notice. Upon termination, the Client remains liable for all fees due for Services already provided. Meridian will transfer all relevant documents and files to the Client's custody at the Client's expense.

11. Conflict of Interest

Meridian will disclose any potential conflicts of interest that might arise. If a conflict is discovered after engagement has commenced, Meridian will notify the Client immediately and discuss resolution options, which may include disqualification or obtaining informed consent.

12. Third-Party Links

Our website may contain links to third-party websites. Meridian is not responsible for the content, accuracy, or practices of third-party websites. Access to external sites is at your own risk and subject to their terms and conditions.

13. Governing Law and Jurisdiction

These Terms & Conditions and all Services are governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of Hong Kong.

14. Dispute Resolution

In case of disputes arising from the engagement or these Terms, the parties will first attempt good faith negotiation. If resolution cannot be achieved, either party may pursue appropriate legal remedies through Hong Kong courts.

15. Changes to Terms

Meridian reserves the right to modify these Terms & Conditions. Significant changes will be communicated to affected clients. Continued use of Services following notification constitutes acceptance of modified terms.
